Integer Holdings notes become convertible through end of 2026

Integer Holdings Corporation (NYSE: ITGR) has notified holders of its 2.125% Convertible Senior Notes due 2028 that the notes are convertible at the option of holders from October 1, 2026, through the close of business on December 31, 2026, according to a company statement.
The notes became eligible for conversion after the closing price of Integer Holdings' common stock exceeded 130% of the conversion price for at least 20 trading days during the 30 consecutive trading days ending on the last trading day of the quarter ended September 30, 2026.
The notes carry a conversion rate of 11.4681 shares of common stock per $1,000 principal amount, equivalent to a conversion price of approximately $87.20 per share.
Upon conversion, holders will receive cash up to the principal amount of the notes. Any excess conversion obligation may be settled in cash, shares of common stock, or a combination of both, at the company's election.
Wilmington Trust, National Association, is serving as the conversion agent. The company stated that neither its board of directors nor its employees are making any recommendation to holders regarding whether to exercise the conversion option.
