Ingram Micro Holding Corporation (NYSE: INGM) has priced a secondary public offering of 11,000,000 shares of common stock at $25.90 per share, according to a press release. The shares are being sold by Ingram Holdco, LLC, an affiliate of Platinum Equity, LLC, through an automatic shelf registration statement filed with the Securities and Exchange Commission.
The selling stockholder has also granted the underwriter a 30-day option to purchase up to an additional 1,650,000 shares at the public offering price, less underwriting discounts and commissions. Ingram Micro will not receive any proceeds from the offering.
Concurrently, Ingram Micro has authorized a repurchase of 1,000,000 shares of its common stock from the underwriter at the same per-share price paid to the selling stockholder. The company said it expects to fund the repurchase with cash on hand. The share repurchase is conditioned on the closing of the offering, though the offering itself is not contingent on the repurchase closing.
Goldman Sachs & Co. LLC is acting as the sole underwriter. The offering is expected to settle and close on or about November 4, 2026, subject to customary closing conditions.
