Immunome announces $400 million public stock offering

Immunome Inc. (NASDAQ: IMNM) announced plans to conduct an underwritten public offering of $400 million in common stock shares, according to a company statement. The biotechnology company, which develops targeted cancer therapies, said all shares in the proposed offering would be issued by Immunome.



The company expects to grant underwriters a 30-day option to purchase up to an additional $60 million of shares. The offering remains subject to market and other conditions, with no assurance provided regarding completion timing or final terms.



Leerink Partners, J.P. Morgan, TD Cowen, Goldman Sachs & Co. LLC and Guggenheim Securities will serve as joint bookrunning managers for the proposed offering. Wedbush PacGrow and LifeSci Capital are acting as co-lead managers.



The offering will be conducted under a shelf registration statement on Form S-3 filed with the Securities and Exchange Commission on February 13, 2024, which became effective upon filing. A preliminary prospectus supplement and accompanying prospectus will be filed with the SEC.



Immunome operates as a clinical-stage oncology company developing cancer therapies. The company's pipeline includes varegacestat, a late-clinical stage gamma secretase inhibitor; IM-1021, a clinical-stage ROR1 antibody-drug conjugate; and IM-3050, a FAP-targeted radiotherapy that received IND clearance. The company is also advancing early-stage antibody-drug conjugates targeting undisclosed solid tumor targets.
