INVO Fertility raises $7.5 million through warrant exercise agreement

INVO Fertility Inc. (NASDAQ: IVF) announced a warrant inducement agreement that will generate approximately $7.5 million in gross proceeds through the exercise of outstanding warrants.
Under the agreement, an investor will exercise warrants to purchase 4,733,728 shares of common stock at a reduced exercise price of $1.59 per share. The warrants were originally issued on December 3, 2025, and their exercise price was amended downward to facilitate the transaction.
In exchange for the immediate warrant exercise, INVO Fertility agreed to issue new unregistered warrants to purchase 9,467,456 shares at $1.59 per share. The new warrants require shareholder approval and will expire five and one-half years after such approval is obtained.
The company plans to file a registration statement with the Securities and Exchange Commission covering the resale of shares issuable upon exercise of the new warrants. The warrant exercise transaction is expected to close on or about January 30, 2026, subject to customary closing conditions.
Maxim Group LLC is serving as the exclusive financial advisor for the transaction. The proceeds are stated before deducting financial advisory fees and estimated offering expenses.
INVO Fertility operates as a healthcare services company in the fertility market, focusing on building and operating fertility clinics and distributing its INVOcell medical device for intravaginal culture procedures. The company currently operates two INVO Centers in the United States and one IVF clinic.
