INEO Tech raises C$2.3 million in private placement funding
INEO Tech Corp. (TSXV: INEO) (OTCQB: INEOF) completed a non-brokered private placement raising gross proceeds of C$2,345,335, the company announced.
The Surrey, British Columbia-based technology company issued 156,355,684 common shares at C$0.015 per share. Company insiders purchased 12,689,020 shares as part of the financing.
The company plans to allocate approximately $1,600,000 of the net proceeds toward inventory purchases and customer deployments, with the remaining $745,000 designated for general administrative expenses and paying down current liabilities. INEO will pay CIBC a finder's fee of $8,750, subject to TSX Venture Exchange approval.
All securities issued carry a statutory hold period of four months and one day under applicable securities laws and TSXV policies. Final acceptance by the TSXV remains pending completion of customary post-closing filings.
The insider participation constitutes a related party transaction under Multilateral Instrument 61-101. The company is utilizing exemptions from formal valuation and minority shareholder approval requirements, as the fair market value of insider participation does not exceed 25% of the company's market capitalization.
INEO also announced it will not issue additional shares under a previously announced October 2025 private placement. That placement resulted in 5,990,000 shares issued at $0.04 per share, rather than the originally planned 12,500,000 shares.
The company operates technology combining in-store retail media and loss prevention systems through its INEO Media Network digital signage platform and INEO Retail Media advertising management services.
