INEO Tech announces $500,000 private placement at $0.04 per share
INEO Tech Corp. (TSXV: INEO) (OTCQB: INEOF) announced a non-brokered private placement to raise up to $500,000 through the issuance of up to 12.5 million shares priced at $0.04 each.
The Surrey, British Columbia-based company stated it plans to use net proceeds for working capital and general corporate purposes, including inventory and deployments, product development and sales initiatives.
The offering requires customary conditions including TSX Venture Exchange acceptance and may close in multiple tranches. The company may pay finder fees and issue finder warrants in accordance with exchange policies. All securities will be subject to a four-month and one-day statutory hold period from closing.
Coenda Investments Holdings Ltd. has the right to participate in the offering to maintain its interest in the company under a settlement agreement dated May 27, 2025. Coenda has until October 15, 2025 to notify the company of its participation. Other company insiders may also participate in the offering.
Any insider participation would constitute a related-party transaction under Multilateral Instrument 61-101 but is expected to be exempt from formal valuation and minority shareholder approval requirements as the fair market value does not exceed 25% of the company's market capitalization.
INEO Tech operates through its subsidiary INEO Solutions Inc., providing digital signage and retail analytics platforms. The company integrates electronic article surveillance pedestals with digital displays for retailers.
The shares have not been registered under the U.S. Securities Act of 1933 and may not be offered or sold in the United States without registration or an applicable exemption.
