Hyperscale Data establishes $50 million at-the-market stock offering

Hyperscale Data Inc. (NYSE American: GPUS) announced it has established an at-the-market equity offering program to sell up to $50 million of common stock through Spartan Capital Securities LLC as sales agent.

The AI data center company stated it will use the majority of net proceeds to acquire Bitcoin and develop its Michigan data facility. A smaller portion will fund working capital and general corporate purposes, which may include debt repayment or stock repurchases.

Stock sales may occur through ordinary broker transactions on the NYSE American at prevailing market prices or as agreed with the agent. The offering operates under a shelf registration statement that became effective December 11, 2025.

Hyperscale Data operates through subsidiary Sentinum, which owns and operates a data center for digital asset mining and provides colocation services for AI ecosystems. The company also owns Ault Capital Group Inc., a diversified holding company it expects to divest in the second quarter of 2026.

On December 23, 2024, the company issued one million shares of Series F Exchangeable Preferred Stock to common stockholders and Series C Preferred holders. The planned divestiture of Ault Capital Group will occur through voluntary exchange of these preferred shares for ACG stock.

The company noted it cannot predict all uses for the net proceeds and management will have broad discretion regarding timing and application of funds from the offering.
