Hyperion DeFi Inc. (NASDAQ: HYPD) completed a public offering of 2,777,778 shares of common stock at $3.60 per share, generating gross proceeds of approximately $10 million before underwriting costs and expenses.
The company sold all shares in the offering and granted sole underwriter Chardan a 30-day option to purchase up to 416,666 additional shares at the offering price, minus underwriting discounts and commissions.
Hyperion DeFi plans to use net proceeds to fund its HYPE treasury strategy, including acquiring additional HYPE tokens, and for working capital and general corporate purposes. The financing was led by Arrington Capital and Blockchain.com, along with a mutual fund and technology-driven investment management firm.
"Hyperion DeFi is building the kind of infrastructure that markets need to scale," said Peter Smith, CEO and Executive Chairman at Blockchain.com. "As the market continues to mature, we see significant value in companies that are focused on durable infrastructure and on bringing more institutional capital into the ecosystem."
The securities were offered under a shelf registration statement filed with the Securities and Exchange Commission on November 17, 2025, and declared effective on December 9, 2025.
Hyperion DeFi describes itself as the first U.S. publicly listed company building a strategic treasury of Hyperliquid's native token, HYPE. The company aims to provide shareholders with exposure to the Hyperliquid ecosystem through its token accumulation and staking strategy.
