Hyperfine announces public offering of Class A common stock

Hyperfine Inc. (NASDAQ: HYPR) announced it has commenced an underwritten public offering of Class A common stock or pre-funded warrants to purchase Class A common stock. The medical imaging technology company will sell all securities in the offering.
Hyperfine plans to grant underwriters a 30-day option to purchase up to 15% of the total securities sold in the offering, consisting of shares, pre-funded warrants, or a combination of both, on the same terms and conditions.
Lake Street Capital Markets serves as the sole book-runner for the proposed offering. The company noted the offering is subject to market and other conditions, with no assurance regarding completion, timing, size, or final terms.
The securities are being offered under an effective shelf registration statement on Form S-3 filed with the Securities and Exchange Commission on November 9, 2023, and declared effective November 22, 2023. A preliminary prospectus supplement and accompanying base prospectus relating to the offering will be filed with the SEC.
Hyperfine develops the Swoop system, described as the first FDA-cleared portable magnetic resonance brain imaging system capable of providing imaging at multiple points of care. The company was founded by Dr. Jonathan Rothberg through technology incubator 4Catalyzer.
