Humacyte prices $50 million stock offering at $1.05 per share

Humacyte Inc. (NASDAQ: HUMA) priced an underwritten public offering of 47.6 million shares of common stock at $1.05 per share, the biotechnology company announced. The offering is expected to generate $50 million in gross proceeds before underwriting fees and expenses.



The offering is scheduled to close on or about June 12, subject to customary closing conditions. Humacyte granted underwriters a 30-day option to purchase up to an additional 7.1 million shares at the same price, less underwriting discounts and commissions.



Barclays, BTIG and Titan Partners are serving as joint book-running managers for the offering. All shares are being sold by the company.



The Durham, North Carolina-based company stated it intends to use net proceeds to fund commercialization of its Symvess product, support a planned Biologics License Application supplement filing for hemodialysis indication, develop pipeline product candidates, and for working capital and general corporate purposes.



Humacyte develops bioengineered human tissues and launched Symvess, its first FDA-approved product, in the United States during the first quarter of 2025. The company's acellular tissue engineered vessel is approved for extremity vascular trauma indication, while other uses remain investigational.



The securities are being offered through a prospectus supplement under a shelf registration statement filed with the Securities and Exchange Commission in September 2025.
