Humacyte announces underwritten public offering of common stock

Humacyte Inc. (NASDAQ: HUMA) announced it has commenced an underwritten public offering of common stock, according to a company statement. The biotechnology company also plans to grant underwriters a 30-day option to purchase up to an additional 15% of the shares sold in the offering.
Barclays, BTIG and Titan Partners serve as joint book-running managers for the offering. The company noted the offering remains subject to market conditions with no assurance regarding completion, timing, size or terms.
Humacyte stated it intends to use net proceeds to fund commercialization of its Symvess product, support a planned Biologics License Application supplement filing for a hemodialysis indication, develop pipeline product candidates, and cover working capital and general corporate purposes.
The Durham, North Carolina-based company operates as a commercial-stage biotechnology platform developing bioengineered human tissues. Humacyte began U.S. commercial launch of Symvess, its FDA-approved product, in the first quarter of 2025.
A shelf registration statement on Form S-3 was filed with the Securities and Exchange Commission on September 12, 2025, and declared effective on September 22, 2025. The securities will be offered through a prospectus supplement and accompanying prospectus that forms part of the registration statement.
The company's technology platform focuses on developing off-the-shelf, bioengineered human tissues for treatment across multiple therapeutic areas. Its acellular tissue engineered vessel remains investigational for uses beyond the FDA-approved extremity vascular trauma indication.
