Humacyte announces public offering of common stock

Humacyte Inc. (NASDAQ: HUMA) announced an underwritten public offering of its common stock. The biotechnology company also plans to grant underwriters a 30-day option to purchase up to 15% additional shares beyond the base offering amount.
Barclays, BTIG and Titan Partners serve as joint book-running managers for the offering. The company stated the offering remains subject to market conditions with no assurance regarding completion, timing, size or final terms.
Humacyte plans to use proceeds to fund commercialization of Symvess, file a Biologics License Application supplement for hemodialysis indication, develop pipeline product candidates and support working capital and general corporate purposes.
The Durham, North Carolina-based company operates under a shelf registration statement filed with the Securities and Exchange Commission in September 2025. A preliminary prospectus supplement will be filed with the SEC and made available through the agency's website.
Humacyte develops bioengineered human tissues and launched Symvess, its FDA-approved product, in the first quarter of 2025. The company focuses on creating off-the-shelf, universally implantable bioengineered tissues for various medical applications.
