Humacyte Inc. (NASDAQ: HUMA) announced it has commenced an underwritten public offering of its common stock. The biotechnology company also plans to grant underwriters a 30-day option to purchase up to an additional 15% of the shares sold in the offering.
Barclays, BTIG and Titan Partners serve as joint book-running managers for the offering. The company noted the offering remains subject to market conditions with no assurance regarding completion timing or final terms.
Humacyte plans to use proceeds to fund commercialization of Symvess, its FDA-approved bioengineered tissue product, and to support filing of a Biologics License Application supplement for a hemodialysis indication. Additional funds will support pipeline development and general corporate purposes.
The offering utilizes a shelf registration statement filed with the Securities and Exchange Commission in September 2025. A preliminary prospectus supplement will be filed with the SEC and made available through the underwriters.
The Durham, North Carolina-based company develops bioengineered human tissues and launched Symvess commercially in the United States during the first quarter of 2025 following FDA approval for extremity vascular trauma treatment.
