Huachen AI closes $2.75M public offering on Nasdaq
Huachen AI Parking Management Technology Holding Co., Ltd. (NASDAQ: HCAI), a China-based provider of equipment structural components and electric vehicle charging solutions, announced the closing of a registered public offering conducted on a best-efforts basis.
The company issued 2,750,000 Class A Ordinary Shares at a purchase price of $1.00 per share, along with warrants to purchase up to 2,750,000 additional Class A Ordinary Shares. Each warrant carries an initial exercise price of $1.00 and expires three years from the issuance date. The exercise price is subject to customary anti-dilution adjustments.
The offering generated gross proceeds of approximately $2.75 million, before deducting placement agent fees, legal fees, and other offering-related expenses. The company stated it intends to use net proceeds for working capital and to purchase directors and officers insurance coverage.
Maxim Group LLC served as sole placement agent. Ortoli Rosenstadt LLP acted as U.S. securities counsel to the company, and Pryor Cashman LLP acted as U.S. securities counsel to the placement agent.
The offering was conducted under a shelf registration statement on Form F-3, initially filed with the U.S. Securities and Exchange Commission on June 5, 2026, and declared effective on June 12, 2026.
