Hemostemix raises $461,230 in private placement financing
Hemostemix Inc. (TSXV: HEM) (OTCQB: HMTXF) (FSE: 2VF0) closed the first tranche of its non-brokered private placement, raising $461,230 through the issuance of 4,193,000 units priced at $0.11 per unit.
Each unit consists of one common share and one warrant. The warrants allow holders to purchase additional shares at $0.15 per share for two years from the closing date. The company may accelerate warrant expiry to 30 days if its shares trade above a weighted average of $0.185 for 10 consecutive trading days after a four-month period.
The Calgary-based stem cell therapy company paid finder's fees of approximately $23,698 and issued 215,440 finder's options exercisable at $0.15 per share for 24 months. Company directors participated in the offering, constituting a related party transaction under regulatory requirements.
Hemostemix plans to use proceeds for general working capital and ongoing operations, including marketing and sales of its VesCell stem cell therapy. The offering requires regulatory approvals, including acceptance from the TSX Venture Exchange.
All securities issued carry a four-month hold period under Canadian securities laws. The company initially announced the private placement on October 8, 2025.
Hemostemix develops autologous stem cell therapy treatments for cardiovascular conditions including peripheral arterial disease, chronic limb threatening ischemia, and various forms of heart failure. The company has completed seven clinical studies involving 318 subjects and published results in peer-reviewed publications.
