Hayasa Metals closes $1.9M private placement with Teck participation
Hayasa Metals Inc. (TSXV: HAY) (OTCQB: HAYAF) completed a private placement raising $1,898,098 through the sale of 11,165,282 units at $0.17 per unit, the company announced.
Each unit includes one common share and half of one common share purchase warrant. The warrants allow holders to purchase additional shares at $0.22 each from November 23, 2025, to 18 months following the closing.
Teck Resources Limited acquired 934,500 units to maintain its 9.9% ownership stake on a partially diluted basis. The offering was over-subscribed and conducted without brokers.
The company plans to use proceeds for exploration work at its Urasar project in Armenia, acquiring additional properties, and general working capital. Hayasa expects to conduct a 2,000-meter drill program at Urasar in 2026.
"We are very pleased that Teck continues to show their support as an investor. And we are optimistic that all shareholders will benefit from Hayasa's first mover advantage in Armenia as we look to add an additional property over 2026," said CEO Joel Sutherland.
Two company officers purchased 588,400 units for $100,028. Dennis Moore, who acquired 294,200 units for $50,014, now holds 8,424,774 common shares representing 11.56% of outstanding shares, down from 13.31% before the placement.
The company paid $48,420 in finders' fees to several financial firms including Haywood Securities Inc., Ventum Financial Corp., and Canaccord Genuity Corp.
Securities issued to Canadian residents under the placement are not subject to resale restrictions except where required by TSX Venture Exchange policies. The placement remains subject to final TSXV acceptance.
