Hasbro (HAS) Announces $875 Million Public Offering of Common Stock

Hasbro, Inc. (NASDAQ: HAS) (“Hasbro”) announced today it has commenced an underwritten registered public offering (the “Offering”) of $875.0 million of shares of its common stock. In addition, Hasbro intends to grant the underwriters an option for 30 days to purchase up to $131.25 million of additional shares of its common stock.

Hasbro intends to use the net proceeds of the Offering to finance, in part, its proposed acquisition (the “Proposed Acquisition”) of Entertainment One Ltd., and to pay related costs and expenses. The closing of the Offering is not conditioned upon the consummation of the Proposed Acquisition. If the Proposed Acquisition is not consummated, Hasbro intends to use the net proceeds of the Offering to repurchase its common stock or for general corporate purposes, which may include debt repayment, capital expenditures and investments.

BofA Securities, Inc., J.P. Morgan Securities LLC and Citigroup Global Markets Inc. are acting as joint book-running managers for the Offering.

The Offering is being made pursuant to an effective shelf registration statement, as amended, including a base prospectus, that has been filed with the Securities and Exchange Commission (the “SEC”) on November 4, 2019 and is available on the SEC website.
