Grizzly Discoveries extends private placement deadline by 30 days
Grizzly Discoveries Inc. (TSXV: GZD) announced a 30-day extension to its private placement offering that seeks to raise up to $1 million in gross proceeds. The company originally announced the offering on September 11, 2025.
The offering consists of up to 8.33 million units and up to 25 million of any combination of units and flow-through units, priced at $0.03 each. Each unit includes one common share and one warrant allowing the purchase of an additional common share for $0.05. The warrants expire within 30 days after the company notifies holders that shares have traded at or above $0.10 for 10 consecutive trading days, or 24 months from issuance, whichever comes first.
Flow-through units consist of one common share and half a warrant, issued as flow-through shares under Canadian tax law. The offering is available to qualified subscribers in Alberta, British Columbia, and Ontario.
If fully subscribed, Grizzly plans to allocate $750,000 to mineral property exploration and $80,000 to mineral rights and exploration permits. The company would use $100,000 for working capital, including $44,000 for outstanding management fees and $56,000 for other accounts payable. Corporate overhead for three months would receive $70,000, covering $18,000 in management fees and $52,000 in other expenses.
The offering has no minimum threshold. If proceeds differ from the maximum or the proportion of unit types varies, the use of funds will be adjusted accordingly. Finder's fees may be paid in cash, units, or warrants to registered dealers. Common shares and warrant shares are subject to a four-month-plus-one-day trading restriction.
The offering requires TSX Venture Exchange acceptance. Grizzly operates approximately 72,700 hectares of precious and base metals properties in southeastern British Columbia.
