Grey Matters Health closes CAD $1.12M private placement
Grey Matters Health Inc. (CSE: GREY, OTC: AGNPF) has closed a two-tranche private placement totaling CAD $1,120,000, according to a company statement.
The second and final tranche raised CAD $520,000, comprising $270,000 from the sale of 675,000 equity units at $0.40 per unit and $250,000 from unsecured convertible debenture units. The first tranche closed Sept. 9, 2026, raising CAD $600,000, consisting of $285,000 from 712,500 equity units and $315,000 from convertible debenture units.
Each equity unit includes one Class A common share and one warrant exercisable at CAD $0.60 per share for 36 months from issuance. Each convertible debenture unit consists of a CAD $1,000 principal debenture and 2,198 warrants. The debentures carry a 10% annual interest rate, payable semi-annually, with a 24-month maturity. Holders may convert principal and interest into common shares at CAD $0.455 per share. Debenture warrants are exercisable at CAD $0.55 per share for 36 months.
No cash finder's fees or finder's warrants were paid in connection with the second tranche. All issued securities are subject to a statutory hold period of four months plus one day under Canadian securities legislation.
The company said proceeds will be used to advance its Alzheimer's Disease program toward opening a U.S. neuroimaging clinic, as well as for general and administrative expenses and working capital.
