GoldInxs Mining launches $1.15M private placement offering

GoldInxs Mining Corp. (TSXV: INXS, OTCQB: INXGF) announced a private placement of units and flow-through units targeting gross proceeds of up to approximately $1,150,000, according to a press release from the Vancouver-based company.



The offering consists of units priced at $0.11 each and Critical Mineral Exploration Tax Credit flow-through units at $0.13 each. Each unit includes one common share and one warrant exercisable at $0.25 for 24 months following the closing date. The company may accelerate warrant expiry to 30 days' notice if the share price closes at or above $0.50 for 10 consecutive trading days on the TSX Venture Exchange.



The company said net proceeds will be directed toward exploration work at its Fishpot Project in central British Columbia, including drilling and sampling programs, as well as general working capital.



The offering is scheduled to close on or about September 30, 2026, subject to regulatory approvals including approval from the TSX Venture Exchange. Securities issued will be subject to a four-month hold period under applicable securities laws.



Finders' fees of up to 7% of gross proceeds may be paid, and finder warrants of up to 7% of units sold through eligible finders may be issued, exercisable at $0.11 per share for units or $0.13 per share for flow-through units, for 24 months from closing.



Separately, GoldInxs said it engaged Outside The Box Capital Inc. of Oakville, Ontario, to provide digital communications and investor relations services on social media. The three-month agreement runs from September 28 to December 28, 2026, for a cash fee of $50,000 plus applicable taxes. No securities-based compensation is included in the engagement.
