Gold Hunter upsizes private placement to $6.15 million

Gold Hunter Resources Inc. (CSE: HUNT) (OTCQB: HNTRF) (FSE: 6RH) announced an increase to its previously disclosed non-brokered private placement, raising the target to up to $6.15 million in gross proceeds.



The expanded offering includes up to 30 million flow-through units at $0.055 each and up to 90 million non-flow-through units at $0.05 each. The company completed the first tranche in December 2025, raising $1.18 million in gross proceeds.



Each flow-through unit consists of one flow-through share and half of one warrant, with full warrants exercisable at $0.08 for 24 months. Non-flow-through units include one share and one warrant exercisable at $0.075 for 24 months.



The company requires shareholder approval by written consent to comply with Canadian Securities Exchange Policy 4.6(2)(a)(i)(2), as the securities issuable exceed 100% of outstanding securities on a non-diluted basis. Warrants cannot be exercised until shareholder approval is obtained.



Gold Hunter plans to use net proceeds for project evaluation, working capital, and satisfying existing property commitments and payables. The Vancouver-based mineral exploration company focuses on precious and base metal projects, with its flagship Great Northern Project covering 26,237 hectares.



The offering requires regulatory approvals, including CSE approval. Securities will be subject to a four-month hold period plus one day from issuance date under applicable securities laws.
