Globavend Holdings Limited (NASDAQ: GVH) announced that all of its outstanding Series A Warrants have expired according to their terms, leaving the company with no outstanding warrants.
The Series A Warrants were issued in connection with a public offering conducted in June 2025. Their expiration removes the derivative securities from the company's capital structure and eliminates a potential source of shareholder dilution.
"The expiration of the Series A Warrants further simplifies our capital structure and removes a legacy source of potential dilution, allowing investors to focus on the execution of our strategy and the long-term growth opportunities across both of our business segments," said Kai Man Fung, Chairman of Globavend.
The Perth, Australia-based company operates two business segments: cross-border e-commerce logistics across Hong Kong, Australia, New Zealand and mainland China, and an AI-powered digital entertainment division. The company states it has commercially launched its proprietary Imaginary AI-powered production platform and released its first fully AI-produced original micro-drama.
Globavend also operates Loomi: Short Drama, a mobile streaming platform offering multilingual micro-dramas.
