Gladiator Metals expands private placement to Quebec investors

Gladiator Metals Corp. (TSXV: GLAD) announced it is expanding its private placement offering to include investors in Quebec. The company will issue 10,563,400 flow-through shares at $1.42 per share and 8,152,200 common shares at $0.92 per share, raising aggregate gross proceeds of $22.5 million.



Cormark Securities Inc. serves as lead underwriter for the bought deal private placement. The offering will be available to investors in all Canadian provinces, including Quebec, under the listed issuer financing exemption.



The company stated it will use proceeds from flow-through shares to fund Canadian exploration expenses that qualify as flow-through critical mineral mining expenditures at its Yukon Territory projects. Net proceeds from common shares will support working capital and general corporate purposes.



Gladiator must incur qualifying expenditures equal to the flow-through share proceeds by December 31, 2026, and renounce them to initial purchasers by December 31, 2025.



The offering is expected to close on or around September 9, 2025, subject to regulatory approvals including conditional approval from the TSX Venture Exchange. Shares issued under the listed issuer financing exemption will not be subject to a hold period under Canadian securities laws.



The company has made an amended offering document available in English and French through SEDAR+ and its website. The securities have not been registered under U.S. securities laws and may not be offered or sold in the United States without registration or an applicable exemption.
