Gladiator Metals closes C$35M BlackRock-led private placement

Gladiator Metals Corp. (TSXV: GLAD) (OTCQB: GDTRF) has closed a non-brokered private placement led by BlackRock, raising gross proceeds of C$35,040,000, according to a press release dated July 15, 2026.



The offering consisted of 7,000,000 Charity Flow-Through common shares priced at C$3.87 per share and 3,000,000 Non-Flow-Through common shares priced at C$2.65 per share.



The company said proceeds will be directed toward exploration activity at its Whitehorse Copper Project in 2026 and 2027, as well as general working capital purposes.



In connection with the closing, Gladiator paid finders' fees comprising 300,000 non-transferable share purchase warrants exercisable at C$2.65 for two years from closing, and cash fees of C$556,500.



The securities issued are subject to a hold period expiring four months and one day from July 15, 2026, and remain subject to final approval from the TSX Venture Exchange.



The Flow-Through shares qualify under subsection 66(15) of Canada's Income Tax Act. Qualifying expenditures equal to the gross proceeds from those shares are to be incurred by December 31, 2027, and renounced to initial purchasers with an effective date no later than December 31, 2026.
