Genprex raises $3.4 million in registered direct offering

Genprex Inc. (NASDAQ: GNPX) announced it entered into definitive agreements for a registered direct offering to raise approximately $3.4 million before fees and expenses.
The clinical-stage gene therapy company will issue 377,780 shares of common stock at $9.00 per share. The offering is priced at-the-market under Nasdaq rules, with H.C. Wainwright & Co. serving as the exclusive placement agent.
In a concurrent private placement, Genprex will issue short-term warrants to purchase up to 755,560 shares at an exercise price of $8.75 per share. The warrants will be immediately exercisable upon issuance and expire 24 months from the effective date of a registration statement for the underlying shares. If fully exercised on a cash basis, the warrants could generate an additional $6.6 million in gross proceeds.
The offering is expected to close on or about October 29, 2025, subject to customary closing conditions. Genprex stated it intends to use the net proceeds for working capital and general corporate purposes.
The common stock is being offered under a shelf registration statement on Form S-3 that was declared effective by the Securities and Exchange Commission on June 9, 2023. The unregistered warrants and underlying shares are being offered in a private placement under Section 4(a)(2) of the Securities Act of 1933.
Genprex develops gene therapies for patients with cancer and diabetes. The company's lead product candidate, Reqorsa Gene Therapy, is being evaluated in clinical trials for non-small cell lung cancer and small cell lung cancer treatment.
