Genius Group offers details on direct registration of shares

Genius Group Limited (NYSE American: GNS) announced it will provide shareholders with information to directly register their shares with the company's transfer agent, Vstock Transfer LLC.

The education company said the move responds to shareholder requests for options to prevent their shares from being lent out for short selling without their knowledge. Board Advisor Kevin Malone, who has over 40 years of family experience in wealth management, assisted in providing the information to shareholders.

According to the company, most brokerage agreements allow brokers to lend out client shares without notification and without sharing financial benefits from the lending with shareholders. Shares purchased through brokers are typically held in "Street Name" under the broker's name rather than the shareholder's name.

Through the Direct Registration System (DRS), shareholders can request their brokers transfer shares to Vstock, where they would be held under the shareholder's name and cannot be lent out without consent. The company stated that shares can be transferred back to brokers through the same system.

As of July 17, 2025, approximately 14.8 million shares are held at Vstock, representing 18.2% of the company's issued shares, with the remaining 81.8% held in broker accounts, according to Vstock data.

"What you own, you should control," Malone said. "For years, brokerages have gotten away with issuing excessive dollars in IOUs that you see on your computer screen in your accounts."

Genius Group said it will track the number of shares held at Vstock and provide updates as more shareholders choose to transfer their shares to the transfer agent.
