GMEX Robotics secures $2 million private investment at premium pricing
GMEX Robotics Corporation (NASDAQ: GMEX) announced it has secured $2 million through a private investment in public equity financing. The AI-powered robotics developer will issue 1,870,558 ordinary shares and 3,741,116 warrants at $1.0692 per share.
The pricing represents a 20% premium to the company's closing share price on June 8, 2026, according to the securities purchase agreement. The warrants are initially exercisable at $1.0692 per share, subject to adjustment.
The company plans to use proceeds for ongoing operations, strategic growth initiatives, acquisitions, and general corporate purposes. The transaction is expected to close on or about June 11, 2026.
The securities were issued under an exemption from registration contained in Section 4(a)(2) of the Securities Act of 1933. The investors are not receiving registration rights, and the company has no obligation to provide such rights.
GMEX Robotics, formerly known as Fitell Corporation, operates in consumer health and automation technology. The company has expanded from fitness equipment e-commerce to developing AI-driven robotic solutions.
The securities issued in the private placement have not been registered under the Securities Act of 1933 or applicable state securities laws, restricting their resale in the United States except through an effective registration statement or applicable exemption.
