Frequency Electronics prices $100M public offering at $57.50 per share

Frequency Electronics, Inc. (NASDAQ: FEIM) priced an underwritten public offering of 1,739,131 shares of common stock at $57.50 per share, generating total gross proceeds of approximately $100 million, according to a press release.
The company is offering 1,086,957 shares, while selling stockholders Edenbrook Value Fund, LP and Edenbrook Long Only Value Fund, LP — affiliates of board member Jonathan Brolin — are offering 652,174 shares. Frequency Electronics will not receive proceeds from the shares sold by the selling stockholders.
The offering is expected to close July 30, 2026, subject to customary closing conditions. Frequency Electronics has also granted underwriters a 30-day option to purchase up to an additional 260,869 shares at the offering price, less underwriting discounts and commissions.
The company said it intends to use its net proceeds for capital expenditures, working capital, and general corporate purposes related to growth opportunities.
Morgan Stanley is acting as lead book-running manager, with Craig-Hallum serving as book-running manager for the offering. A registration statement was declared effective by the U.S. Securities and Exchange Commission on July 21, 2026.
