FreeCast prices $23.7M private placement of common stock

FreeCast, Inc. (Nasdaq: CAST) has priced a $23.7 million private placement of common stock with new institutional and existing investors, according to a press release from the company.
The Orlando, Fla.-based streaming media technology company entered into securities purchase agreements for 4,666,667 shares of Class A common stock and pre-funded warrants to purchase an additional 3,243,807 shares. The pre-funded warrants carry an exercise price of $0.0001 per share, become exercisable upon shareholder approval, and do not expire until exercised.
The gross proceeds of approximately $23.7 million are before placement agent fees and other offering expenses. FreeCast said it intends to use net proceeds for working capital and general corporate purposes.
The closing is expected on or about July 2, 2026, subject to customary closing conditions.
The offering is being made under an exemption from registration requirements pursuant to Section 4(a)(2) of the Securities Act of 1933 and/or Regulation D. The securities have not been registered under the Securities Act. FreeCast said it has agreed to file a registration statement with the U.S. Securities and Exchange Commission covering the resale of shares sold in the offering.
