Fractyl Health announces proposed public stock offering

Fractyl Health Inc. (NASDAQ: GUTS) announced plans for an underwritten public offering of common stock and pre-funded warrants, according to a company statement.
The metabolic therapeutics company said it intends to sell shares of common stock and pre-funded warrants, with each share or warrant accompanied by common warrants to purchase additional stock. The pre-funded warrants will be priced at the common stock offering price minus $0.00001, which represents the exercise price per warrant.
Fractyl expects to grant underwriters a 30-day option to purchase up to an additional 15% of the securities offered at the public offering price, less underwriting discounts and commissions. The company noted the offering remains subject to market and other conditions, with no assurance regarding completion, timing, size or final terms.
The Burlington, Massachusetts-based company plans to use net proceeds from the offering, combined with existing cash and cash equivalents, to support its Revita and Rejuva pipeline programs and for working capital and general corporate purposes.
Ladenburg Thalmann & Co. Inc. serves as sole book-running manager for the proposed offering. The company filed a shelf registration statement on Form S-3 with the Securities and Exchange Commission on March 3, 2025, which was declared effective on March 18, 2025.
Fractyl focuses on developing treatments for metabolic diseases including obesity and type 2 diabetes. The company holds 32 granted U.S. patents and approximately 40 pending U.S. applications, along with various foreign patents and pending applications.
