Formation Metals announces $6 million private placement offering

Formation Metals Inc. (CSE: FOMO) announced a private placement offering to raise up to $6 million through two concurrent financings. The company plans to issue up to 10,810,810 units at $0.37 each for gross proceeds of up to $4 million, alongside a flow-through private placement of up to 4,878,049 units at $0.41 each for up to $2 million.



Each unit in the primary offering includes one common share and one warrant exercisable at $0.54 for 36 months. The flow-through units consist of one flow-through share and one warrant exercisable at $0.62 for two years.



The Vancouver-based mineral exploration company stated it will use proceeds for fieldwork at its exploration projects. Formation currently holds working capital of approximately $5 million with no debt prior to the financing.



The company's primary asset is the N2 Gold Project in Quebec, which contains a historic resource estimate of approximately 870,000 ounces of gold across multiple zones. Formation has planned a 20,000-meter drill program at the property, with the first phase of 10,000 meters commencing on September 25, 2024.



The offering is subject to regulatory approvals including approval from the Canadian Securities Exchange. Formation may pay finder fees of up to 7% of gross proceeds and issue corresponding finder warrants to eligible parties.



The company cancelled a previously announced flow-through offering from September 22, 2024. Securities issued under the flow-through placement will be subject to a four-month hold period, while the primary offering units will not be subject to hold periods under Canadian securities laws.
