Forge Resources completes $6 million private placement financing

Forge Resources Corp. (CSE: FRG) (OTCQB: FRGGF) (FSE: 5YZ) completed the second tranche of its brokered private placement financing, raising a total of $6 million across both tranches.



The company issued 5,313,000 flow-through units at $0.50 per unit in the second tranche, generating gross proceeds of $2,656,500. Each unit consists of one flow-through common share and one warrant exercisable at $0.70 per share for three years until May 7, 2029.



Ventum Financial Corp. served as agent and sole bookrunner for the offering. The company paid a 7% cash commission on gross proceeds and issued compensation warrants equal to 7% of the units issued to Ventum Financial and other agents.



The proceeds will fund Canadian exploration expenses and flow-through mining expenditures on the company's mineral properties. These expenses must be incurred by December 31, 2027, and will be renounced to unit purchasers with an effective date no later than December 31, 2026.



Separately, Forge Resources engaged SnowBridge Limited to provide investor awareness and digital marketing services for an initial three-month term beginning May 11, 2026. The company allocated $400,000 CAD for the campaign, with no equity-based or performance compensation for SnowBridge.



Forge Resources focuses on the Alotta copper-gold-molybdenum project in Canada's Yukon Territory and holds an 80% interest in the La Estrella coal project in Colombia through Aion Mining Corp.
