Forge Resources announces $10 million private placement offering

Forge Resources Corp. (CSE: FRG) (OTCQB: FRGGF) (FSE: 5YZ) announced it has engaged Ventum Financial Corp. as agent for a private placement offering to raise up to $10 million.



The offering consists of up to 10 million LIFE units priced at $0.50 each and up to 8.3 million flow-through units at $0.60 per unit. Each LIFE unit includes one common share and half a warrant exercisable at $0.75 for 36 months. Flow-through units have the same structure but qualify as flow-through shares under Canadian tax law.



LIFE units will be available to Canadian residents except Quebec under the listed issuer financing exemption and will trade freely without hold periods. Flow-through units will be subject to a four-month statutory hold period.



The agent will receive a 7% cash commission and compensation warrants equal to 7% of units issued, exercisable at $0.50 for 36 months. The agent has an option to increase the offering by up to 15%.



Proceeds from flow-through units will fund exploration expenses on the company's Alotta Property, which must be incurred by December 31, 2027. LIFE unit proceeds will support development of the La Estrella project and general working capital.



The offering is expected to close around March 3, 2026, subject to regulatory approvals including from the Canadian Securities Exchange.



Forge Resources is a junior exploration company focused on the Alotta copper-gold-molybdenum project in Yukon Territory, covering 4,723 hectares. The company also holds an 80% interest in Aion Mining Corp., which is developing the La Estrella coal project in Colombia.
