Focus Universal raises $10 million in preferred equity offering

Focus Universal Inc. (NASDAQ: FCUV) completed a $10 million preferred equity offering on October 23, 2025, the company announced. The Internet of Things and AI software provider expects to receive approximately $9.44 million in net proceeds after deducting underwriting fees and expenses.

The company plans to use the funds to continue commercializing its Universal Smart IoT platform and AI-driven SEC financial reporting software. Chairman Edward Lee invested $2 million in the offering, while another existing shareholder committed $1 million.

"The participation of our board chairman as two of our major shareholders along with 3 investor groups demonstrates strong confidence in the advanced technologies and global potential of our products," said CEO Desheng Wang in a statement.

Focus Universal said the investment will help meet Nasdaq's minimum stockholders equity requirement and provide financial flexibility for growth initiatives. The company's Universal Smart IoT applications are now available on Apple App Store and Google Play Store, while its AI financial reporting software is under contract for testing.

The company's IoT platform allows different devices to share approximately 90% of the same hardware and software components, according to the announcement. The AI-driven SEC reporting software automates tasks including retrieving financial statements, reformatting data, generating consolidated financials, and creating SEC-compliant filings.

Spartan Capital Securities LLC served as lead placement agent for the Series B portion of the offering, with RBW Capital Partners LLC acting as sub-placement agent through Dawson James Securities, Inc.

Focus Universal holds 26 patents and patents pending across five technology platforms, along with eight pending trademarks. The company's stock trades on Nasdaq.
