FocalTherics proposes public offering of American Depositary Shares

FocalTherics (NASDAQ: FOCL), a medical device company based in Austin, Texas and Lyon, France, announced it has commenced an underwritten public offering of American Depositary Shares (ADSs), with each ADS representing one ordinary share of the company at €0.13 nominal value per share.
All ADSs in the proposed offering will be sold by the company. FocalTherics intends to grant underwriters a 30-day option to purchase up to an additional 15% of the ADSs sold in the offering under the same terms and conditions. The final terms of the ADSs will be determined upon pricing.
TD Cowen and Mizuho will serve as joint book-running managers for the offering. H.C. Wainwright & Co. and Lucid Capital Markets will act as co-managers.
The company stated it intends to use net proceeds for operating costs, capital expenditures, and general corporate purposes, including working capital.
The offering is being made pursuant to a shelf registration statement on Form S-3 previously filed with the Securities and Exchange Commission on March 25, 2026, amended on March 27, 2026, and declared effective on March 31, 2026. The company noted that no public offering of the ADSs will be made in Europe.
