Five Star Bancorp launches underwritten common stock offering

Five Star Bancorp (Nasdaq: FSBC), a holding company headquartered in Rancho Cordova, California, announced the launch of an underwritten public offering of shares of its common stock.
The company intends to grant underwriters a 30-day option to purchase additional shares. Keefe, Bruyette & Woods, A Stifel Company, is serving as bookrunner, with Stephens Inc., D.A. Davidson & Co., Raymond James & Associates, Inc., and Brean Capital acting as co-managers.
Five Star Bancorp said it plans to use net proceeds for general corporate purposes, working capital, and to support growth, including investments in its wholly owned subsidiary, Five Star Bank.
The offering is being made pursuant to a registration statement on Form S-3 declared effective by the Securities and Exchange Commission on February 9, 2026. Five Star Bank currently operates ten branches in California, following the opening of a location in Lodi in July 2026.
