FibroBiologics raises $1.7 million in registered direct offering

FibroBiologics Inc. (NASDAQ: FBLG) announced it has entered into agreements to sell 5,227,275 shares of common stock at $0.33 per share in a registered direct offering, raising approximately $1.7 million in gross proceeds before fees and expenses.



The biotechnology company will also issue unregistered warrants to purchase up to 5,227,275 shares at an exercise price of $0.33 per share in a concurrent private placement. The warrants will become exercisable upon stockholder approval and will expire five years after such approval is obtained.



H.C. Wainwright & Co. is serving as the exclusive placement agent for the offering, which is expected to close on or about December 16, 2025, subject to customary closing conditions.



If the warrants are fully exercised on a cash basis, they could generate an additional $1.7 million in gross proceeds for the company. However, the company noted that no assurance can be given that stockholder approval will be achieved or that any warrants will be exercised.



FibroBiologics intends to use the net proceeds for working capital and general corporate purposes. The company describes itself as a clinical-stage biotechnology firm focused on developing therapeutics for chronic diseases using fibroblasts and fibroblast-derived materials, with over 270 patents issued and pending.



The shares are being offered under a shelf registration statement on Form S-3 that became effective with the Securities and Exchange Commission on February 10, 2025. The unregistered warrants and underlying shares are being offered in a private placement under federal securities law exemptions.
