FibroBiologics raises $1.5 million in registered direct offering

FibroBiologics Inc. (NASDAQ: FBLG) completed a registered direct offering of 4,477,614 shares of common stock at $0.335 per share, generating approximately $1.5 million in gross proceeds before fees and expenses.
The biotechnology company also issued warrants in a concurrent private placement to purchase an additional 4,477,614 shares at the same $0.335 exercise price. The warrants will become exercisable upon stockholder approval and expire five years after such approval is obtained.
H.C. Wainwright & Co. served as the exclusive placement agent for the offering, which is expected to close on November 25, 2025, subject to customary closing conditions.
The Houston-based company stated it intends to use the net proceeds for working capital and general corporate purposes. If the warrants are fully exercised on a cash basis, FibroBiologics could receive an additional $1.5 million, though the company noted no assurance can be given that stockholder approval will be achieved or that any warrants will be exercised.
The common stock offering was conducted under a shelf registration statement filed with the Securities and Exchange Commission that became effective in February 2025. The warrants and shares issuable upon their exercise were offered through a private placement and have not been registered under federal securities laws.
FibroBiologics describes itself as a clinical-stage biotechnology company developing treatments for chronic diseases using fibroblast cells and fibroblast-derived materials, with more than 270 issued and pending patents.
