Falcon Gold revises private placement terms to C$0.03 per unit

Falcon Gold Corp. (TSXV: FG) (FSE: 3FA) (OTC Pink: FGLDF) has restated the terms of a previously announced non-brokered private placement, adjusting the unit price in accordance with TSX Venture Exchange pricing requirements.



The company plans to issue up to 11,666,667 units at C$0.03 per unit, targeting gross proceeds of up to C$350,000. Each unit consists of one common share and one transferable warrant, with each warrant exercisable at C$0.05 per share for three years from the date of issuance.



R7 Investments Ltd., a company controlled by Chief Executive Officer and director Karim Rayani, intends to subscribe for 1,000,000 units for C$30,000. The company classified this participation as a related party transaction under Multilateral Instrument 61-101 but said it expects to rely on exemptions from formal valuation and minority shareholder approval requirements, as the transaction value does not exceed 25% of the company's market capitalization.



Net proceeds are intended for the advancement of the company's Northwestern Ontario property portfolio and general working capital. Finder's fees may be paid in accordance with TSX Venture Exchange policies.



All securities issued will be subject to a statutory hold period of four months and one day from the closing date. The placement remains subject to TSX Venture Exchange approval and customary closing conditions.
