Fairchild Gold secures C$1.1 million private placement funding

Fairchild Gold Corp. (TSXV: FAIR) announced a non-brokered private placement financing expected to close on October 17, 2025, subject to regulatory approvals. The company stated the offering is fully committed with the majority subscribed by a European strategic investor.



The offering consists of up to 12,222,222 units priced at C$0.09 per unit for gross proceeds of approximately C$1,100,000. Each unit includes one common share and one warrant allowing the purchase of an additional share at $0.15 for five years from closing.



The warrants contain an acceleration clause that permits the company to shorten the expiry period if the daily volume-weighted average closing price reaches at least $0.50 per share for five consecutive trading days, beginning 12 months after closing. In such cases, warrants would expire ten calendar days after notice is provided.



The securities will be subject to a four-month and one-day hold period under Canadian securities laws from the closing date. No finder's fees will be paid in connection with the offering.



Fairchild stated the proceeds will advance the company's Nevada gold projects and provide general working capital. The company operates the Nevada Titan Project in the Goodsprings mining district and owns the Fairchild Lake Property in Ontario, consisting of 108 mining claims covering 2,224 hectares.



"This swiftly executed financing led by a seasoned European based Strategic Investor is a strong vote of confidence in the Company's focused value creation strategy as it accelerates its ongoing efforts in Nevada," said Nikolas Perrault, Executive Chairman.



The offering requires approval from the TSX Venture Exchange and other regulatory bodies, according to the company's press release statement.
