EyePoint prices $150 million public offering at $12 per share

EyePoint Pharmaceuticals Inc. (NASDAQ: EYPT) priced an underwritten public offering of 11 million shares of common stock at $12.00 per share, according to a company statement. The offering also includes pre-funded warrants to purchase up to 1.5 million shares at $11.999 per warrant for certain investors.
The aggregate gross proceeds from the offering are expected to be approximately $150 million before deducting underwriting discounts, commissions and other offering expenses. The closing is expected to occur on or about October 16, 2025, subject to customary closing conditions.
EyePoint has granted underwriters an option for 30 days to purchase up to an additional 1.875 million shares at the public offering price, less underwriting discounts and commissions.
J.P. Morgan, Jefferies, Citigroup and Guggenheim Securities are acting as joint book running managers for the offering.
The company stated it intends to use the net proceeds to advance clinical development of DURAVYU for wet age-related macular degeneration and diabetic macular edema, support earlier stage pipeline development initiatives, and for general corporate purposes.
The securities are being offered pursuant to an automatically effective shelf registration statement on Form S-3ASR previously filed with the Securities and Exchange Commission on October 14, 2025.
