Exploits Discovery announces $1.95 million financing with Quebec funds

Exploits Discovery Corp. (CSE: NFLD) announced two flow-through private placements totaling up to $1.95 million to fund exploration activities on its Quebec and Ontario gold projects.



The company plans a Quebec charity flow-through financing of up to $1.45 million through the issuance of shares at $0.087 each, led by Quebec funds SIDEX L.P. and NQ Investissement minier. An additional flow-through placement aims to raise up to $500,000 through shares priced at $0.075 each.



Both financings are expected to close December 24, 2025, subject to regulatory approvals including Canadian Securities Exchange approval. The shares will be subject to a four-month hold period.



"We are very pleased to have SIDEX and NQIM as key partners in this Quebec charity flow-through financing," said Jeff Swinoga, President and CEO. "Their support is a strong endorsement of our Quebec exploration strategy and the quality of our project pipeline."



The company intends to use proceeds from the charity financing for Canadian exploration expenses qualifying as flow-through mining expenditures in Quebec, including advancement activities on Quebec gold projects. Proceeds from the additional financing will fund similar activities in Quebec and Ontario.



The qualifying expenditures must be incurred by December 31, 2026, with the company renouncing the expenditures to shareholders with an effective date no later than December 31, 2025.



SIDEX is a Quebec government and Fonds de solidarité FTQ initiative that invests in mineral exploration companies in Quebec. NQIM is a Matagami-based regional investment fund focused on mining development in Northern Quebec.



Exploits Discovery focuses on advancing gold projects in Quebec and Ontario, with core assets including the Fenton, Wilson, and Benoist projects in Quebec and the Hawkins project in Ontario.
