Exagen Inc (XGN) Prices 3.5M Share Offering at $5.25/sh

Exagen Inc. (Nasdaq: XGN), a leading provider of autoimmune testing solutions, today announced the pricing of its previously announced underwritten public offering of 3,350,000 shares of its common stock at a public offering price of $5.25 per share. All of the shares in the offering will be sold by Exagen, with gross proceeds to Exagen expected to be $17,587,500 before deducting underwriting discounts and commissions and offering expenses. Exagen has granted the underwriters a 30-day option to purchase up to an additional 502,500 shares on the same terms and conditions. The offering is expected to close on May 9, 2025, subject to the satisfaction of customary closing conditions.

Canaccord Genuity is acting as sole bookrunner for the offering.

The public offering is being made pursuant to a shelf registration statement on Form S-3 (including a base prospectus) that was previously filed with the Securities and Exchange Commission (the “SEC”) on November 17, 2023, as amended on November 27, 2023, and declared effective by the SEC on November 29, 2023.
