Evommune raises $125 million in private placement

Evommune Inc. (NYSE: EVMN) announced it has entered into a securities purchase agreement to sell 4,494,279 shares of common stock to institutional investors in a private placement. The clinical-stage biotechnology company will sell shares at $27.88 each, generating approximately $125 million in gross proceeds before transaction expenses.
The private placement involves new and existing mutual funds and dedicated healthcare institutional investors. The transaction is expected to close on or about February 17, 2026, subject to customary closing conditions.
Morgan Stanley & Co. LLC, Leerink Partners LLC, Evercore ISI, Cantor Fitzgerald & Co., and William Blair & Company, L.L.C. served as placement agents for the offering. Oppenheimer & Co. Inc. acted as capital markets advisor.
The company stated it intends to use net proceeds to advance clinical development programs and for general corporate purposes. Evommune develops therapies targeting chronic inflammatory diseases.
The securities have not been registered under the Securities Act of 1933 and cannot be offered or sold in the United States without registration or an applicable exemption. The company and investors entered into a registration rights agreement requiring Evommune to file a registration statement with the Securities and Exchange Commission for the resale of the shares.
