Everbright Digital closes $8.07M public offering on Nasdaq
Everbright Digital Holding Limited (NASDAQ: EDHL), a Hong Kong-based marketing solutions provider, announced the closing of a registered public offering that raised approximately $8.07 million in gross proceeds.
The company issued 4,293,000 ordinary shares at $1.88 per share, with a par value of $0.00064 per share. The gross proceeds do not account for placement agent fees and other offering expenses. The company said it intends to use the net proceeds for working capital and general corporate purposes.
The offering was conducted on a best-efforts basis, with WestPark Capital, Inc. serving as sole placement agent. Ortoli Rosenstadt LLP acted as counsel to the company on U.S. securities law matters, and Sheppard, Mullin, Richter & Hampton LLP served as counsel to the placement agent.
The ordinary shares were offered pursuant to a Form F-1 registration statement filed with the U.S. Securities and Exchange Commission on May 14, 2026, which was declared effective by the SEC on July 23, 2026.
Everbright Digital conducts its operations in Hong Kong through its subsidiary, Hong Kong United Metaverse Limited, providing digital marketing services including virtual reality and augmented reality design, event planning, and social media marketing.
