Enlivex terminates share sale deal with Rain Foundation

Enlivex Ltd. (NASDAQ: ENLV) announced the termination of a securities purchase agreement it had previously entered into with the Rain Foundation, according to a press release dated Sept. 22, 2026.
Under the agreement, Enlivex had agreed, subject to shareholder approval, to sell and issue 66,666,667 ordinary shares to the Rain Foundation in a private placement. The Rain Foundation had elected to purchase the shares using RAIN tokens.
Enlivex said it terminated the agreement in accordance with its termination rights under the contract. As a result, the company will not proceed with the private placement and will not seek shareholder approval in connection with the transaction.
Enlivex is a clinical-stage company developing Allocetra, an immunotherapy targeting inflammatory conditions associated with aging, with a focus on age-related osteoarthritis. The company also operates a prediction markets treasury strategy built around the Rain protocol.
