Electra Battery Materials establishes $5.5M stock offering program

Electra Battery Materials Corporation (NASDAQ: ELBM) announced it has established an at-the-market offering program that allows the company to sell up to $5.5 million worth of common shares through H.C. Wainwright & Co.

The program operates under a previously announced agreement with Wainwright dated June 26, 2025. Under the arrangement, Electra may offer and sell common shares at its discretion through the investment firm, which will receive a 3% commission on gross proceeds from any sales.

The offering is being conducted in the United States through a registration statement on Form F-3 filed with the Securities and Exchange Commission. The SEC declared the registration statement effective on December 11, 2025.

Sales will be made at prevailing market prices at the time of sale, meaning prices may vary between purchasers and during the distribution period. The shares will be sold directly on or through the Nasdaq Stock Market, with no sales planned for the TSX Venture Exchange or other Canadian trading markets.

Electra operates as a critical minerals company focused on lithium-ion battery supply chains. The company is constructing a cobalt sulfate refinery and holds mining properties in Idaho's Cobalt Belt, including the Iron Creek project. The company also pursues battery recycling opportunities and evaluates nickel refining ventures.

The company stated it intends to use net proceeds from any share sales as outlined in its prospectus filing, though specific use details were not provided in the announcement.
