Draganfly prices $50 million registered direct offering at $7 per share

Draganfly Inc. (NASDAQ: DPRO) announced the pricing of a registered direct offering for 7.15 million common shares at $7.00 per share, generating gross proceeds of approximately $50 million before fees and expenses.
The drone solutions company said the offering is expected to close on or about February 27, 2026, subject to customary closing conditions including regulatory approvals from the Canadian Securities Exchange and notification to the Nasdaq Stock Market.
Maxim Group LLC serves as lead placement agent, with Raymond James Ltd. and Ladenburg Thalmann & Co. Inc. acting as co-placement agents for the transaction.
The company stated it intends to use net proceeds for general corporate purposes, including funding capabilities to meet demand for new products, growth initiatives, working capital requirements, continuing development and marketing of core products, potential acquisitions, and research and development.
The offering is being conducted under an effective shelf registration statement on Form F-10 filed with the U.S. Securities and Exchange Commission and declared effective on February 25, 2026, along with the company's Canadian short form base shelf prospectus dated October 24, 2025. Securities will be offered and sold only in the United States, with no sales to Canadian purchasers.
Draganfly develops drone solutions, software, and robotics for applications including public safety, agriculture, industrial inspections, security, mapping, and surveying. The company trades on NASDAQ and the Canadian Securities Exchange under the symbol DPRO and on the Frankfurt Stock Exchange as 3U8A.
