Doubleview Gold plans $3.2M flow-through private placement
Doubleview Gold Corp. (TSXV: DBG) (OTCQX: DBLVF) announced plans to raise up to $3.2 million through a non-brokered flow-through private placement, according to a company statement.
The offering involves the issuance of up to 1,454,545 flow-through units at $2.20 per unit. Each unit consists of one flow-through common share and one half of a common share purchase warrant. Each full warrant entitles the holder to purchase one additional non-flow-through common share at $3.00 per share for two years from the date of issuance.
Proceeds will be used to fund eligible Canadian exploration expenses qualifying as flow-through mining expenditures, as defined under the Canadian Income Tax Act, on the company's mineral exploration properties in British Columbia. The company intends to renounce qualifying expenditures to subscribers with an effective date no later than December 31, 2026.
The company may pay finder's fees of 5% of gross proceeds in cash, along with finder's warrants equal to 5% of units sold to introduced subscribers. Finder's warrants are exercisable at $3.00 per share for two years from issuance.
All securities issued under the offering are subject to a statutory hold period of four months and one day under Canadian securities law. The offering remains subject to approval by the TSX Venture Exchange and other required regulatory bodies. The company may complete the offering in one or more tranches.
