Doubleview Gold Corp. (TSXV: DBG) announced a non-brokered private placement of flow-through units for gross proceeds of up to approximately C$2 million.

The private placement will consist of up to 1,538,462 flow-through units priced at C$1.30 per unit. Each unit includes one common share and one warrant that allows the holder to purchase an additional common share at C$2.00 per share for 24 months following the closing date.

The Vancouver-based mineral exploration company stated the proceeds will fund exploration work on its British Columbia projects, particularly the polymetallic Hat Project in northwestern BC. The work includes drilling, geological advisory services, analytical services and other Canadian exploration expenses that qualify as flow-through mining expenditures under the Income Tax Act.

All securities issued under the offering will be subject to a four-month and one-day hold period from the date of issuance in accordance with TSX Venture Exchange policies and applicable securities laws. The company may pay finder's fees consisting of cash or finder's shares in connection with the private placement.

The closing of the offering requires regulatory approvals including approval from the TSX Venture Exchange. Doubleview Gold also trades on the OTCQB under the symbol DBLVF and on the Frankfurt Stock Exchange under the symbol 1D4.

The company focuses on identifying, acquiring and financing precious and base metal exploration projects across North America, with emphasis on British Columbia projects involving gold, copper, cobalt, scandium and silver.
